1. Acceptance of Terms

These Terms and Conditions constitute a legally binding agreement between the subscriber (referred to as 'Client', 'Organization', or 'User') and SkyLight Chat and its smart-calling companion platform 'Halla'. By creating an account, upgrading to a subscription plan, or accessing any of our automated text or voice services via WhatsApp, Instagram, Telegram, LinkedIn, Web Chat, or phone, you explicitly acknowledge and agree to be bound by these Terms and all incorporated policy guidelines, in absolute compliance with the active laws and regulations of the Kingdom of Saudi Arabia.

2. Eligibility & Corporate Verification

A) To utilize the platform for commercial operations, the subscribing entity must be legally registered and active in its country of operation (e.g., holding a valid Commercial Registration 'CR' issued by the Ministry of Commerce in Saudi Arabia or equivalent validation in GCC and other nations). B) The natural person setting up the corporate account declares that they possess full legal capacity and corporate delegation to bind the organization legally and financially to these Terms. C) The Client commits to maintaining accurate, complete, and updated registration metadata, including CR parameters, headquarter address, contact numbers, and verified organizational email.

3. Acceptable Use & Content Restrictions

A) The Client shall utilize the platform strictly for legitimate business workflows and in full compliance with active national cybersecurity legislation, including the Saudi Anti-Cyber Crime Law. B) It is strictly prohibited to transmit spam, unsolicited marketing campaigns, fraudulent schemes, explicit content, defamatory materials, or promote any products and services prohibited by the laws of the Kingdom of Saudi Arabia. C) The Client must comply with all acceptable use policies of third-party platforms integrated into their workspace (e.g., Meta WhatsApp Business API Policies). SkyLight Chat reserves the right to suspend or terminate any workspace instantly without refund or prior notice if any fraudulent or spam activity is detected that compromises system performance, IP reputation, or violates the law.

4. Terms of Use for Halla Smart Calling System

A) The 'Halla' smart-calling product allows the Client to place and receive telephone calls powered by custom conversational AI agents (such as the default Saudi voice character 'Nouf'). B) Legal Notification Obligation: The Client acknowledges and agrees that under Saudi Arabian telecommunications and data protection legislation, the Client is legally mandated to explicitly and clearly notify all call participants at the beginning of the call that the interaction is being recorded, processed, and transcribed by artificial intelligence for booking, support, or quality assurance. C) The Client bears sole civil, criminal, and religious liability and responsibility for any omission or failure to notify their call participants, and agrees to indemnify SkyLight Chat and Halla against all claims, regulatory audits, or fines resulting from such omissions. D) Utilizing Halla for automated harassment, spam calling, banking/governmental spoofing, social engineering, or any behavior violating the Communications, Space and Technology Commission (CST) regulations in Saudi Arabia is strictly prohibited.

5. Fine-Grained Permissions & Audit Trails

The platform provides the Client with a secure management interface to assign fine-grained workspace permissions and roles (e.g., 'إدارة_واتساب', 'إدارة_الفريق', 'الوارد_العام', 'إدارة_التذاكر' etc.). The Client is solely responsible for managing these roles, ensuring credential confidentiality, and monitoring the comprehensive system Audit Logs to prevent internal breaches or unauthorized data exports. Any operational action or message executed via a sub-account created by the Client is legally deemed authorized by the Client.

6. Knowledge Base & AI Accuracy

A) The Client is solely responsible for the validity, legal ownership, and accuracy of all files, documents, and web links (PDF, DOCX, XLSX, URLs) uploaded to their AI Knowledge Base. B) The Client acknowledges that AI agent responses are generated based on the specific inputs and knowledge parameters supplied by the Client; therefore, SkyLight Chat does not warrant absolute conversational accuracy or error-free outputs, and the Client's agents should supervise automated interactions regularly. C) The Client agrees to indemnify the platform against any copyright infringement or defamation claims arising from files uploaded to the workspace's training library.

7. Pricing, Billing, Taxes, & Subscriptions

A) Services are delivered based on commercial subscription tiers billed monthly or annually at prices listed in supported currencies (SAR, USD, DZD). B) Value-Added Tax (VAT): All pricing listed on our platforms is subject to the Value-Added Tax (VAT) regulated by the Zakat, Tax and Customs Authority (ZATCA) in Saudi Arabia, which is calculated and appended to invoices. C) Subscriptions automatically renew at the end of each billing cycle unless the Client cancels the automatic renewal through the billing dashboard at least 48 hours prior to the renewal date. D) Fees paid are non-refundable after service activation and processing has commenced, due to dedicated infrastructure allocation and customized software handshakes.

8. Intellectual Property & Brand Ownership

A) SkyLight Chat, including its source code, design layouts, user interfaces, proprietary AI algorithms, natural language processing models, integration gateways, and the Halla speech synthesis engine, remains the exclusive intellectual property of SkyLight Chat, protected under regional and international intellectual property laws. B) Corporate subscriptions grant the Client a limited, non-exclusive, non-transferable, revocable, and temporary license to use the system for internal business operations during the active subscription period; no transfer of proprietary technology or brand assets is implied under this agreement.

9. Disclaimer of Warranties

The platform and all included modules are provided on an 'as is' and 'as available' basis without warranties of any kind, whether express or implied, including warranties of continuous availability, fitness for a specific purpose, or complete absence of software errors. While we target a 99.9% Service Level Agreement (SLA) uptime, we are not liable for outages caused by third-party communication networks, Meta servers, local telecom operators, or international internet routing failures.

10. Limitation of Liability

To the maximum extent permitted under the active laws of the Kingdom of Saudi Arabia, the aggregate financial liability of SkyLight Chat and Halla for all direct claims, damages, losses, or legal liabilities arising from this agreement shall not exceed the net total fees paid by the Client to the platform during the twelve (12) months immediately preceding the date of the claim. In no event shall we be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, commercial revenues, data, or company reputation.

11. Mutual Indemnification

The Client agrees to fully defend, indemnify, and hold harmless SkyLight Chat, Halla, its shareholders, directors, and employees from any third-party claims, legal audits, fines, damages, or legal expenses (including professional attorney fees) arising from: A) Misuse of the platform by the Client or their team members. B) Violations of the Saudi Arabian Personal Data Protection Law (PDPL) or user privacy regulations. C) Failure to notify call participants of AI voice call processing under Halla terms. D) Violations of KSA laws or third-party intellectual property rights.

12. Workspace Suspension & Account Closure

SkyLight Chat reserves the right to suspend or permanently terminate workspace access without prior notice or financial compensation in cases of: A) Repeated failure to settle billing invoices on time. B) Violations of these Terms or the Acceptable Use Policy. C) Utilizing the platform for fraudulent or suspicious activities that prompt regulatory inquiries from Saudi financial or telecom regulators (such as SAMA, CST, or SDAIA).

13. Governing Law & Dispute Resolution

A) These Terms and Conditions, alongside any commercial relationships or legal disputes arising from them, shall be governed by, interpreted, and construed in absolute accordance with the active laws and regulations of the Kingdom of Saudi Arabia. B) In the event of any dispute, the parties commit to seeking an amicable resolution within thirty (30) days from written notification. C) If an amicable resolution is not reached, the dispute shall be referred to the exclusive jurisdiction of the competent courts and judicial committees in Riyadh, Kingdom of Saudi Arabia.
